1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Matherne's Consulting Inc ("Company," "we," "us," or "our"), a Louisiana corporation located at 354 Tulip Dr, Houma, LA 70360.

By accessing or using our website at mathernesconsulting.com (the "Site"), subscribing to our SMS messaging program, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or our services.

2. Services

Matherne's Consulting Inc provides marketing consulting services including, but not limited to:

• PPC and display advertising campaign management
• Social media advertising and management
• SMS and mobile marketing campaigns
• Email marketing strategy and execution
• Landing page design and development
• Marketing strategy and consulting

All services are subject to separate service agreements, proposals, or statements of work as applicable. These Terms govern your general use of our Site and participation in our SMS program.

3. SMS Messaging Program Terms

The following terms apply specifically to our SMS/text messaging program:

3.1 Program Description

When you opt in to our SMS program, you consent to receive recurring automated promotional and informational text messages from Matherne's Consulting Inc. Messages may include marketing tips, special promotions, event announcements, and service updates.

3.2 Opt-In and Consent

By providing your mobile phone number and checking the SMS consent box on our opt-in form, you expressly consent to receive recurring automated text messages from us at the number provided. You confirm that:

• You are the owner or authorized user of the mobile device and phone number provided
• You are at least 18 years of age
• You are providing your consent freely and voluntarily
• You understand that consent is not a condition of purchasing any goods or services from us

3.3 Message Frequency

Message frequency may vary. You can expect to receive up to 4 messages per month. Promotional campaigns may occasionally increase message volume temporarily, but we will always respect reasonable limits.

3.4 Message and Data Rates

Standard message and data rates may apply to all text messages sent or received in connection with our SMS program. These charges are imposed by your wireless carrier and are your sole responsibility. Contact your wireless carrier for details about your messaging plan.

3.7 Supported Carriers

Our SMS program is compatible with all major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, MetroPCS, Cricket, Boost Mobile, and Virgin Mobile. T-Mobile is not liable for delayed or undelivered messages. Carriers are not responsible for the content of messages sent through our program.

3.8 No Sharing of Data

We will not sell, rent, loan, trade, lease, or otherwise transfer for profit any phone numbers or personal information collected through our SMS program to any third party. Your information will only be used as described in our Privacy Policy.

4. Website Use

4.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, or local law or regulation
• Attempt to interfere with, compromise the system integrity, or decipher any transmissions to or from the servers running the Site
• Use any automated system, including bots, spiders, scrapers, or data mining tools to access the Site

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATHERNE'S CONSULTING INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Site or services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content
• Messages sent or received, or messages not sent or received, through our SMS program

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Matherne's Consulting Inc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Site, or your participation in the SMS program.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Terrebonne Parish, Louisiana, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by updating the "Last updated" date at the top of this page. Your continued use of the Site or participation in the SMS program after any changes constitutes your acceptance of the new Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matherne's Consulting Inc regarding your use of the Site and SMS program, and supersede all prior agreements, communications, and proposals, whether oral or written.
